Yes, it's been a while since a post was posted.  Busy, busy, busy.

What do you want to speak about? 

How about your favorite pot hole or bump in the road?  What's up with the cut across Main Street at State?  For some reason, we notice other towns and their traffic flow and how their asphalt seems to hold up for a longer period of time - even in the County.

How about your thoughts on whether the City is ready for snow?  The news states most cities and towns are not ready for the big storm barrelling across the nation.  Main Street use to be one of the few streets plowed during a storm, by the State.  The City owns Main Street now and we can only watch and see.

Are you all ready to ban assault rifles?  Do you feel Social Security taking a hit from big government is a good thing?

Will someone please go help 10214 Bradford Road?  They must be in terrible distress, flying the American flag upside down.  Yes, it's an international symbol of distress, so we know they're in trouble.  Thanks.

Speaking of the election, we understand there were 30 absentee ballots tossed out of the 1st District on election day.  Usually this means the Precinct Chairs could not determine voter intent.  There are usually 3 to 5 absentees that may be tossed by a Precinct, but 30?  What's up with that?

Have you heard Gahan wants to pass a $14 million dollar bond for a Little League Park and swimming pool?

Have you heard Coffey and Gahan have made a pact?  If Coffey supports the split of the Parks the west end children can swim free at the pool?  Does that even make sense?  I've heard Coffey is carrying on about this fact, but wouldn't you think all disadvantaged children should have a pass to the pool?

Won't be long now.  Three weeks and counting! 

For school board, we are endorsing Knable and Gardenour.  Lee Cotner - I'm undecided as of yet, though I admit I like you more than the rest of the candidates.

Not that too many people care, but we still endorse OBAMA for President.

We'll vote for Joe Donnelly.

Hope Yoder wins.

Hope Gregg wins for Governor, though we still like Rupert but can't afford to waste one vote.

For County Commissioner, we are pulling for Roudenbush!

WE KNOW THAT!

Can the City outsource our ambulance without getting bids?  How can that be?

Maybe the same way the trees were taken down at the postage stamp size park designated to be the "Bicentennial Park"?  No questions asked, no rules followed, just deforestation.  We would have remembered the outcry when St. Mary's took their trees down to put the steeple up.  This is even worse.

Though, we have to say - we always thought the City owned that postage stamp before we bought it (again).  The only people who could park there had to go through the City.  Harvest Homecoming always used it for a stage area.  Who knows?

We would also like to know why the City went outside the State of Indiana for a history book of our fair City when we have our own historian in town (who has already wrote several books about the subject), namely Gregg Seidl.  What does the guy down in Tennessee know that Gregg doesn't know?

We agree with Coffey - NO INSURANCE for Benedetti, Zurschmeide and Caesar.  WHAT A FRIGGING JOKE.  The ones who have the most always seem to want more, and more, and more...

The concert Friday night in New Albany was/is another joke.  Literally about 30 people attended and for what and for whom?  We are truly (not) sorry a certain individual bar/restaurant is not large enough for his own venues.  Some taxpayers wish to sue in order to stop our money being used for one, ONE, individual benefit. 

Oh, well.  A wish list sure to be denied.

ANYONE ELSE?

Boy, that was a news flash yesterday about Etheridge and Josh Clemons.  We're just wondering if it's the tip of the iceberg.

Two ballots were wrong?  The people weren't eligible to vote?  There was a whole lot more than two ballots wrong with that election and we've always known the high rise is the place where a lot of fraud can and does occur.

We'll wait and see what else is coming down the pike because we KNOW Etheridge will sing like a canary.

VOTE NO FOR STEVE BUSH

We are urging all to vote for Dennis Roudenbush for County Commissioner.  With the new State Law in effect, even if Bush won he would have to give his seat up and let a caucus decide who your next Commissioner will really be.

There is a refund from Humana in the amount of $169,000.00.  Bush wants to give each County employee $600.00.  We say no.  This is taxpayers' money and we would like to see this go towards our County budget.

Irv Stumler gave Bush $5,000.00; J.B. Evans gave $500 and Bush also has Darrell Mills (of all people) supporting him.  JUST VOTE NOOOO.

Perline (Pearline?) was head of Human Resources for the City has been terminated and Kaye Garry's daughter is now also head of Human Resources and Controller.  Kaye has ended up working for the Police Department. 

For the Human Rights Commission, I understand Diane Baylor (Roger's wife) has been appointed to this Board.  Is that correct?  Hmmppffhh.  Is her tolerance level equal to her husband's?  What a strange pick.

FLOYD COUNTY THINGS

Good job, Floyd County, for some of the road paving you have been doing.  (And, we don't have to worry about the road being tore back up within two months!)

We are not agreeing with US having to pay for Henderson's mistakes re the Camm trial.  He had advance warning he COULD NOT do what he did do.  As far as we are concerned, that's what HIS insurance is for.  But, that's just our opinion.

Speaking of David Camm, the third ugly trial is coming up.    We have never seen anything divide a whole community (the entire County) as this subject has.  We still feel strongly about the Boney DNA not coming out in the first trial and probably more importantly, WHY it did not come out.  We don't particularly care whether Stan Faith said the buck stopped with him.  Huh Uh....

GOOD NEWS FOR THE NEIGHBORHOOD!!!!

It has been a long, hard, drawn out battle for years upon years - but - CONGRATULATIONS, Linden Meadows Neighborhood!  Within a month, demolition will start tearing down the houses which never did belong there, per HUD.  We hear Gahan is trying to take credit but I don't see how he can do that thing with one of his employees, Carl, up to his neck in this debacle.  Coffey is trying to take credit, too.  No way!!!!

Yep, we hear Carl Malysk, John Miller and Ted Fulmore have some serious explaining to do before the Feds.  The Bank was a little bit persnickety in wanting their monies, huh?  We feel this whole project was contrived from the get go, trying to get it to work any way "they" could.  We hope the neighborhood will be able to revert that property back into the park which existed before.  We're pulling for you all!

Welcome back, Grace Schneider!  New Albany/Floyd County have missed you.  So long, Harold Adams. 

What's the scoop on Chief Knight?  Did she go to the Commissioners asking for $200,000.00?  For what, 911?  We understand Chief Knight will not tell the City Council how much these Alive At Five Concerts are costing the City for the police officer's overtime and/or who's paying for it.  It's not going to be easy covering some things up anymore now that the monies have been ordered separated from one another, i.e., sanitation, storm water, sewers, etc.  Though, this blog has to ask - once the funds are separated, what happens when we find out we don't have any money to put into a fund?  Sure ought to be interesting.

One more question.  How many of Mickey Thompson's relatives are now working for the Street Department?  Nepotism is alive and well in New Albany....

Oh, well.  What else is new?

Miscellaneous (...)

HEAT WAVE - We hope everyone helps take care of each other during our 100 year weather temps.  WHEW!  Hot!  Hot!  Hot!

HEALTHCARE - It's hard to teach this old dog new tricks.  After great study, and listening to John Yarmouth explain how our new healthcare is NOT going to hurt small businesses, etc., I'm looking forward to seeing how this new plan will work for me and mine.  We have no insurance after working under contract for 30 + years.  (Unlike Mr. Gibson, who is contractural and still manages to get free healthcare.)  I've never understood why Social Security, Medicare/Medicaid and other social programs did not have to go before the Supreme Court unlike our National Healthcare plan.  (Yes, we understand A LOT of people reading this may not agree - more power to you!)

SEPARATION OF THE DEPARTMENT FUNDS FOR CITY GOVERNMENT - We have waited over 20 years for this to happen.  Our only worry?  Will Gahan Veto the Council's vote?  5 - 4 split - some Council members agreed with Gahan.

PARKS DEPARTMENT AND COUNTY GOVERNMENT - First, you took Camille Wright w/ the pool (which could really be used right now) from City residents.  We suspect an option has been given to Bobo for the amphitheatre and there is talk the County wants to sell Community Park.  What are you leaving for the City residents?  NO - Bush - we do not want City and County government merged.  We wouldn't wish the City's debt on our worse enemy!!!  You may find nothing will polarize County voters more than you expressing the desire for same. 

Nothing important here.  It's too hot to jaw around for long!!!!

GAHAN - - WHERE'S THE COMPLAINT DEPARTMENT?

Wow!  What a crowd!!!  If you weren't downtown last night you're square!!!!

I'M KIDDING folks.  Can you say cluster bust?  5 til 8, while people are still working (except for our local government)?  Local businesses never did see the influx of people into their establishments as was predicted.

Matter of fact, local businesses I talked with felt the closing of the streets HURT their business.  It's not like there's a lot of parking available for the business establishments on Market  much less not being able to get there unless you know the area.  If you were from Louisville you were screwed.

Dang.  12 police officers required and being paid overtime? 

ALL OF THE MONEY WE SPENT REVAMPING THE AMPHITHEATRE?  Are you kidding?  You think the showing of the movie Top Gun is more of a major event than a band????????

Oh, that's right.  Some people say when the concerts were held at the amphitheatre, people simply left afterwards and didn't go downtown to eat and shop.  Well, you drew a lot more people, especially families to the amphitheatre.  Parents with children playing while mom and dad listened to the music.  Where are these people going to be able to sit and relax at?  Are we paying for seats, too?  

Don't you think it's a different type of crowd(s) who attend the amphitheatre's concerts than who comes to see bands and just stand around and drink?  

You scheduled these two events earlier and in the heart of the town and you did not have people go to the restaurants and eat -- except for the politicians and (under order by Gahan) City employees.

No legal permission to close the streets; no professional to help you plan these events; the police officers weren't assigned by the Board of Works, either.  What the heck?

Who's paying for all of the equipment which was necessary for the concert?   How many Street Department employees are working for this event? 

No contracts signed for vending, beer - yet a couple of local businesses managed to get in on it.  The street closings (without any prior knowledge, either) proved to be a real pain for citizens not in the know (which were MOST of us).

Here's my wild conclusion.  Is this because you are trying to wean us away from our beautiful water front and amphitheatre because of the pie in the sky development named River Walk?  Ha.

The whole thing is a joke.  A joke on you for letting some hare brained idea happen without going to your local businesses and ASKING them what they thought and a cruel joke on citizens and businesses who feel this event for the past two weeks HURT their bottom line.  How strange for all of this to occur without public knowledge, lack of the BOW's legally required mandate, and on and on.  Damn.  Who is making probably about $60,000 a year to come up with this screwed up idea?  I need a job like that.

Anyways, I need to know where your complaint department is, Mayor Gahan.

For the most part, I believe most politicians are like dirty diapers.  They both need to be changed, often.

Without further ado, the following lists candidates running on the Democrat and Republican tickets.  We were unable to obtain the Independents list due to time constraints.

Richard G. Lugar - Yes (He has served Indiana well and I'm willing to let him retire after this next term, as a show of respect.)

John R. Gregg - I could handle him.  My hopes would be he could rescind some of the outsourcing Daniels implemented.  We need the JOBS.  Another hope would be he would look at some of these contracts implemented, for a loophole, i.e., Indiana Toll Road.

Mike Pence - Too shy of any Republican becoming Governor.

(R) Edward Clere - Ed, it's taking a lot for me to vote for you again.  I hope you can, and will, take a step back from the Party line in your political actions/decisions.  The Right To Work Bill was/is just plain wrong (for various reasons, in my book).  There seem to be several states passing these absurd laws and then that state is sued because it's just plain wrong.  Where are the money savings in doing something like that?  And, for who?  The Right To Work Bill simply lowers wages at a time when wages need to be rising simply to meet the costs of living.  And, how can you expect a Union to represent a non-paying member?  Too far left field.  You've disappointed me in not making a stand on tolls.  Even if we have to be tolled, why not put a time limit a little bit more realistic than the one in place now?  Hey, I tried.

DIFFERENT BLOGS, DIFFERENT PEOPLE AND DIFFERENT THOUGHTS

There are so many different blogs in New Albany.  If I were a smarter blog administrator I would take the time and figure out how to put the links to each on here.  Does that make me a bad blog administrator?  Nah.  To me, if you want to link to the other blogs, we have a local blog where you may link to any other blog (except maybe a couple). 

This other blog also has links to various governmental offices and other points of interest that particular blog administrator "likes".  We all have our likes, dislikes and points of view others may not care for and some may even detest (though that's an awfully strong word - but it's true). 

We appreciate your readership.  We will keep on keeping on just being a simple kind of blog.

A little housekeeping is in order for us after publishing the various executive orders and contracts.  We'll have more City documents ready for a read in the next few weeks.  In the meantime, we have some catching up to do with readers who have submitted their thoughts and/or opinions.

SHANE GIBSON'S SECOND CONTRACT SIGNED THE SAME DAY AS THE OTHER

Shane Gibson has two contracts he signed and is currently operating under.  Below is the second one:

The following reflects what this document states:



AGREEMENT FOR SERVICES

     This Agreement for Services (this "Agreement") is made and entered

this 13 day of January, 2012, by and between Shane L. Gibson d/b/a

Gibson Law Office, LLC (the "Gibson"),  and the Sewer and Storm

Water Utilities for the City of New Albany (hereafter referred to

as "Utilities").  Gibson and City agree as follows:

     1.  Gibson is an independent contractor for the City with

          respect to the Sewer Utility and the Storm Water

         Utility and shall be paid $3,750.00 per month.


     2.  Gibson's duties and responsibilities shall include, but not

          limited to, attendance at respective board meetings for the

          Sewer and Storm Water Utilities, research legal issues

          and render legal opinions, and draft legal documents for

          said department, and any other activity requested by the

          Board and/or the City Attorney.


     3.  Gibson shall be paid the retainer fee per month, which

          retainer shall fully compensate Gibson for the first fifteen

          (15) hours of legal work each month.  In addition, Gibson

          shall be paid an hourly rate of $150.00 for any work

          performed in excess of fifteen (15) per month for any

          work beyond the scope of his duties and responsibilities

          as described herein above.  The hourly rate shall apply to

          the involvement in any litigation, or any other legal

          matters agreed by the parties.

Mr. Gibson has secured 2 (two) contracts for this year, 2012.  We will publish one at a time.

     This Agreement for Services (this "Agreement") is made and entered this 13th day of January, 2012, by and between Shane L. Gibson dba Gibson Law Office, LLC (the "Gibson"), and the City of New Albany (hereafter referred to as "City").  Gibson and City agree as follows:

          Mayor and shall be paid  $2,500.00 per month.


     2.  Gibson's duties and responsibilities shall include,

           but not limited to, attendance at respective board

           meetings for the Planning/Zoning

          Departments, Redevelopment, and any other meetings,

           including researching legal issues and render legal

          opinions, and draft legal documents for said departments.


     3.  Gibson may participate in the City insurance program

          and pay any costs associated therein.


     4.  Gibson shall be paid the retainer fee per month, which

           retainer shall fully compensate Gibson for the first

           twenty-five (25) hours of legal work each month for the

           City.  In addition, Gibson shall be paid an hourly rate of

           $150.00 for any work performed in excess

           of twenty-five (25) per month and for any work beyond

           the scope of his duties and responsibilities as described

           herein above.


     5.  The hourly rate shall apply to the involvement in any

           litigation, or any other legal matters agreed by the

           parties.


     6.  Gibson shall be permitted to participate in city health

           insurance programs and shall pay the costs associated

           with any participation.


     7.  Gibson and City agree that all contracts in previous years

          are null and void.

GIBSON'S CONTRACT FOR 2010

The following is an Agreement for Services reflecting Shane Gibson's contract for 2011, dated November, 2010.





In case you, the reader, can not read this the following reflects the actual text:

AGREEMENT FOR SERVICES

     This Agreement for Services (this "Agreement") is made and entered this 29th day of November, 2010, by and between Shane L. Gibson d/b/a Gibson Law Office, LLC (hereafter referred to as "Gibson"), and the City of New Albany (hereafter referred to as "City") and effective December 1, 2010.  Gibson and City agree as follows:

     1.  Gibson shall be appointed New Albany
          City Attorney and shall be paid $50,000
          per year as City Attorney.  In addition,
          Gibson shall be paid an hourly
          rate of One Hundred Fifty Dollars
          ($150.00) per hour for any work performed
          in excess of ten (10) hours per week
          (excluding holidays).  Gibson shall
          submit an itemized invoice for
          such work performed in excess of
          ten (10) hours per week (excluding
          holidays).

     2.  Gibson's duties and responsibilities
          shall include, but not limited to,
          attendance at respective board
          meetings for the City Departments,
          City Council meetings, research legal
          issues and render legal
          opinions, and draft legal documents,
          draft and research ordinances, enforce
          ticket and ordinance violations.

     3.  Gibson shall be permitted as City
          Attorney to participate in the health
          insurance and other insurance policies
          and plans offered by the City.

     4.  In the event that the City of New Albany
          issues any bond financing for the
          benefit of the City, Gibson may be paid
          additional compensation for his
          services with regard to same in an
          amount commensurate with the work
          performed.

     5.  This contract shall terminate any other
          contract and is at the will of either
          party upon notice of two (2) months.

Did you, as the reader, pick up on how not only is he getting the City's health insurance but other insurance policies and plans offered by the City?  Anyone out there with knowledge as to what all "plans" and insurance programs he may have benefited from?  (Maybe we should say still benefiting from.)

Also, $50,000 per year and ten hours per week at $150.00 per hour without submitting billable hours? 

Sweetheart of a deal.   If the rumors are true and the Democrats are putting up Mr. Gibson to run for County Prosecutor we assume this may be the reason why such lucrative contracts.

ANOTHER EXECUTIVE ORDER

This Executive Order was created 02-06-09. 


We have always heard that Rosenbarger and Malysz, both, started drawing their retirement benefits after their respective dates of 11/30/08 (Rosenbarger) and 9/10/07 (Malysz).  Then, we heard others had done the same.  Unfortunately, there is a loophole in the law which allows this to happen.


Anyways...

And, as usual, you can't read it with the eye, unless you enlarge this with a photocopier.  The following represents what this document states:

By the authority vested in me as Mayor of the City of New Albany, Indiana, it is hereby ordered and directed as follows:

Section1, Vacation Pay

There has been a precedent set in recent years to award service time to City employees rehired after leaving the employ of the city for various reasons.

The following persons will be awarded their credible service years to be applied to them as set forth in the personnel policy for non-bargaining employees in Section V, Paragraph B, Vacations:

Carl E. Malysz - April 28, 1975 through November 8, 2002; June 11, 2007 through September 10, 2007, and rehired on January 1, 2008 for a total of 28 years and awarded four weeks vacation.

John Rosenbarger - November 17, 1975 through November 30, 2008 and rehired on January 1, 2009 for a total of 33 years and awarded four weeks vacation.

Kathy Wilkerson - December 1, 1972 through August 15, 1975; December 1, 1975 through September 1, 2008 and rehired on October 1, 2008 for a total of 35 years and awarded four weeks vacation.

Pat Linck - January 1, 1971 through September 1, 1974; January 1, 1992 through December 31, 1999 and rehired on January 1, 2004 for a total of 17 years and awarded four weeks vacation.

This Executive Order shall be retroactive to January 1, 2008.

MORE EXECUTIVE ORDERS

We hope people realize this blog takes no joy nor satisfaction from finding and printing documents uncovered by taxpayers reflecting actions which we feel are illegal, without Council's approval.

It is what it is, though, and print them we will.


As you can tell, the document isn't readable, and the following reflects what it states:

By the authority based in me as Mayor of the City of New Albany, it is hereby ordered and directed as follows:

Section 1.  Vacation Pay

There has been a precedent set in recent years to award service time to city employees rehired after leaving the employ of the city for various reasons, mainly because of a change of administrations.

The following persons will be awarded their credible service years to be applied to them as set forth in the personnel policy for non-bargaining employees in Section V, Paragraph B, Vacations:

Dennis Smith - 6/26/95 through 5/23/2000 and rehired on 8/29/05 for a total of 8 years and awarded three weeks vacation.

Cyndi Krauss - 1/28/97 through 6/25/2004 and rehired on 3/23/05 for a total of ten years and awarded three weeks vacation.


Kay Garry - 6/1/85 through 12/31/1987; 1/1/1992 through 2/1/2002; and rehired on 2/9/04 for a total of 15 years and warded four weeks vacation.

This order shall be retroactive to January 1, 2008.

It is our understanding compensation to any city employee needs to be approved by the Common Council, City of New Albany.  The precedent referred to, well, what can we say?  We'll let the State of Indiana rule as to the legality of the above document.  Why an Executive Order?



Now, here is another document (or Executive Order) dictated by former Mayor Douglas B. England:



Again, as before, human eye probably can't discern what this document states.  The following shows the words:

EXECUTIVE ORDER
SETTING SALARY FOR DENNIS SMITH

20010-01

In 2009, the City took on the project of implementing a tow in lot for vehicles in violation of city ordinances.  The City did not have a tow in lot before this time.  Dennis Smith was instrumental in organizing and implementing the tow in lot.  Dennis Smith has operated the tow in lot since it began.  He has taken on additional duties and responsibilities above and beyond what his original job position required of him.  By his efforts, Dennis Smith has been able to increase the revenues of the City through his work with the tow in lot.  During 2009, Dennis Smith did not receive additional compensation for his work with the tow in lot above his normal salary relating to his other duties.  The Mayor, hereby, acknowledges the benefits received by the City through the additional work performed by Dennis Smith.

Therefore, by the authority vested in me, as Mayor of the City of New Albany and the powers granted to me under Indiana Code 36-4-7-3, which permits the Mayor to increase the compensation of an employee at anytime during the year, the Mayor authorizes the additional compensation of $10,000 per year to Dennis Smith out of the tow in lot funds.  This is effective immediately.

Appointive officers, deputies, and other employees; compensation
Sec. 3. (a) This section does not apply to compensation paid by a city to members of its police and fire departments.
(b) Subject to the approval of the city legislative body, the city executive shall fix the compensation of each appointive officer, deputy, and other employee of the city. The legislative body may reduce but may not increase any compensation fixed by the executive. Compensation must be fixed under this section not later than September 30 of each year for the ensuing budget year.
(c) Compensation fixed under this section may be increased or decreased by the executive during the budget year for which it is fixed.
(d) Notwithstanding subsection (b), the city clerk may, with the approval of the legislative body, fix the salaries of deputies and employees appointed under IC 36-4-11-4.

Why wouldn't this go before Council?  Why an executive order?  Council approved the tow in lot and Messer led the committee hearings with the public.  And, if Council approved the tow in lot, wouldn't they have approved a salary for someone to run it?  We, as taxpayers, have no clue but realize this gentleman received $20,000.00 above and beyond Council's approval.

AND WE WANT TO KNOW WHERE OUR MONEY IS - HA HA HA.  $10,000 HERE, $20,000 THERE...USE THE MONEY YOU HAVE BEEN MISAPPROPRIATING TO FIX THE THINGS NEEDING FIXING AND QUIT RAISING OUR RATES.  AND, PLEASE, DON'T EVEN THINK ABOUT PUTTING NEW TAXES ON THE TAXPAYERS/RATE PAYERS IN ORDER TO PAY FOR THE MALARKEY SHOWN ABOVE, PLEASE.

WHAT'S GOING ON?

After a conversation with a Council member, we understand there was a $100,000.00 appropriation made by Council, which has come up missing.  We are waiting for more information.

There will be news breaking soon concerning actions taken, without Council's approval, by former Mayor England involving Carl Malysz, John Rosenbarger, Kathy Wilkerson, Pat Linck, and Cyndi Krauss.  We hope to be reporting more on this subject soon.  (Though we may not receive the information until the Press is involved.  This is not our choice.)

Not to change the subject, but, we are aware of the number of police cars being parked on Grantline and we for one say - WAY TO GO!  We aren't quite sure how much longer we can sustain the numbers we are paying for our Fire and Police and welcome their effort in trying to lower their costs!   Most excellent.

H A P P Y V A L E N T I N E ' S D A Y !

We are publishing the former City Attorney's Contract for your perusal.

A question we would ask is if Mayor Gahan had to honor the Contract and give Mr. Gibson two month's notice as stated?  Is he still working under this Contract or has another been drawn up reflecting the different board(s) work he has been hired to do -- Mayor Gahan?  (We'd simply like to see a more recent Contract.)

Of course, there are other questions associated with the Contract in question.  The big question is why didn't the City Council know the expense(s) involved?  It's simply a fact ONE of the few jobs the Council has is the MONEY.  OUR money. 

Next.

Is it really true Kaye Garry has returned to the Controller's Office part-time?  Is the insurance a factor? 

On to the Contract:

AGREEMENT FOR SERVICES


     This agreement for Services (this "Agreement) is made and entered this 1st day of January, 2009, by and between Shane L. Gibson d/b/a/ Gibson Law Office, LLC (the "Gibson"), and the City of New Albany (hereafter referred to as "City").  Gibson and City agree as follows:

     1.  Gibson is an independent contractor for the City and
         shall be paid $12,500.00 per month.

     2.  Gibson shall be the head of the Legal Department.

     3.  Gibson has agreed to not take on additional clients
         in order to devote his ultimate time to the City.

     4.  Gibson shall be responsible for all his federal and
         state taxes.  The City is not responsible for any
         obligations with respect to taxes for Gibson (i.e.
         employer contributions) since Gibson is an
         independent contractor.

     5.  Gibson shall be responsible for any retirement of
         his choosing.  City shall not be participating
         and/or making payments to PERF on behalf of Gibson.

     6.  City shall provide Gibson with a 1099 for tax
         purposes.

     7.  City shall provide Gibson space for an office
         and the use of the City Attorney's budget for
         costs associated with the City Legal
         Department and its operations.

     8.  City shall provide Gibson an administrative
         assistant to assist in the duties relating
         to the Legal Department.

     9.  City shall pay and/or provide for professional
         liability insurance for Gibson.  Gibson shall
         pay all other costs associated with
         maintaining his attorney license.

    10.  Gibson shall pay for all continuing education
         requirements which are not directly related
         to Municipal Government and its operations.

    11.  Gibson and/or his family shall participate
         in the health insurance and other insurance
         policies and plans offered by the City.

    12.  Gibson's duties and responsibilities shall
         include, but not limited to, attendance at
         respective board meetings for the City
         Departments, City Council meetings, research
         legal issues and render legal opinions, and
         draft legal documents, enforce tickets and
         ordinance violations.

    13.  Gibson shall be available during normal business
         hours for work related to the City.

    14.  This contract shall terminate at the will of
         either party upon notice of two (2) months.
